DALLAS and TORONTO, Oct. 6, 2023 /CNW/ — NexPoint Hospitality Trust (“NHT” or the “REIT“), (TSX-V: NHT.U) announced today that it intends to adjourn the annual and special meeting of unitholders (the “Meeting“) currently scheduled for Thursday, October 12, 2023 at 10:00 a.m. (Toronto time), and to reconvene the Meeting on Thursday, October 26, 2023 at 10:00 a.m. (Toronto time). To implement the adjournment, the Meeting will still be convened on October 12, 2023 but it will be immediately adjourned. Other than a motion to adjourn the Meeting, there will be no voting or other matters conducted at the Meeting.
The REIT is adjourning the Meeting in order to accommodate the hearing of an application filed with the Capital Markets Tribunal (the “Tribunal“) seeking additional disclosure with regard to the resolution to be considered at the Meeting approving certain amendments to the COVID Loans (as defined in the REIT’s management information circular dated September 11, 2023). The REIT believes that the Circular includes all required information, however, has agreed to adjourn the Meeting in order to accommodate timing for a hearing before the Tribunal.
No changes have been, or are expected to be, made to the record date or the proposals to be brought before the Meeting, which are presented in the Circular. All proxies submitted to date remain valid including those submitted after the original proxy deadline for the Meeting. Given the adjournment, proxies may now be received by the REIT’s transfer agent, TSX Trust Company, until Tuesday, October 24 at 10:00 a.m. (Toronto time).
